Zonic Music Aps Terms and Conditions of Sale and Rental

The legal relationship between the buyer/tenant and Zonic Music Aps shall be governed by applicable Danish law, subject to the following modifications:

General Terms and Conditions:

In general

  • Rented equipment may only be used by the renter or their representative. Subletting is permitted only with the written approval of Zonic Music Aps.
  • The period during which the equipment has been rented is referred to as the rental period; this is defined as the time the equipment has been out of Zonic Music Aps’s warehouse and at the renter’s disposal in accordance with the rental agreement. Please note that the minimum rental period is 1 day. The day the equipment leaves Zonic Music Aps’ warehouse is counted as the first day of the rental period. Upon return, the day of return is counted as a rental day.

Pricing

  • The rental fee is calculated based on the prices set by Zonic Music Aps.
  • All prices are quoted exclusive of VAT, other taxes, and insurance.
  • Verbal quotes must be accepted immediately; otherwise, they will lapse.
  • Written quotes are valid for 14 days from the date of the quote unless otherwise stated.
  • The price is the current price determined at the time the quote is issued, subject to increases in labor and material costs, fluctuations in exchange rates, and changes in customs duties, freight, and other costs.
  • Payment must be made immediately upon termination of the lease agreement or in accordance with the payment terms specified in the lease agreement, unless otherwise agreed in writing.

Contracts

  • In the case of a contract and/or agreement, the goods remain the property of Zonic Music Aps until the contract and/or agreement has been fulfilled.
  • The signatories acknowledge that they understand the terms of the contract and shall return it in signed form.
  • If the contract is not returned within 5 business days of the date indicated, the contract shall be deemed invalid.
  • Zonic Music Aps reserves the right to recover actual costs incurred in connection with an agreed-upon but unreturned contract.
  • Any disputes shall be settled in court.

Complaint

  • Claims regarding shortages in quantity or quality must be made immediately upon receipt of the goods; otherwise, the right to make a claim will lapse.
  • Claims regarding other defects must be made within 8 days of receipt; otherwise, the right to make a claim will lapse.
  • The following extended force majeure circumstances exempt Zonic Music Aps from liability for delays: war, fire, strike, lockout, weather-related import and export bans, seizures, defects or delays from subcontractors, as well as other circumstances that Zonic Music Aps did not foresee or should not have foreseen.

Securing equipment

  • For outdoor events, all equipment must be effectively secured against wind and weather. Additional tarps must be provided. Zonic Music Aps reserves the right to reject the renter’s measures in this regard.
  • The sizing of power cables and the rest of the installation must comply with the high-voltage regulations.
  • If the renter picks up the rented equipment themselves, transportation must be carried out in a suitable vehicle. Zonic Music Aps reserves the right to reject the transportation.
  • During the rental period, the renter is responsible for any damage to or loss of the rented equipment, even if accidental.

Repairs and damage

  • No modifications or repairs may be made to the rented equipment without express permission from Zonic Music Aps.
  • The rented equipment must be returned in the same condition as when it was picked up. Cleaning, coiling cables, folding rugs, or other restoration of equipment after return will be billed to the renter at applicable hourly rates.
  • The customer is always liable for compensation in the event of unexplained loss, damage, or staining of the rented equipment. If repairs can be made, they will be carried out at the lessor’s discretion and at the customer’s expense. In the event of loss or damage that cannot be repaired, compensation will be provided at full or replacement value.
  • Zonic Music Aps cannot be held liable for any damage caused by the rented equipment.

During the rental period

  • The rented items may not be transferred to the custody of others, and they may not be taken outside Denmark’s borders unless specific written permission has been obtained.
  • The delivery of reserved equipment is subject to the timely return of equipment by previous renters.
  • Zonic Music Aps reserves the right to replace reserved equipment with equipment of the same functionality.
  • In the event of late return of equipment, Zonic Music Aps has the right to demand additional payment and to be reimbursed for any costs Zonic Music Aps may have incurred in connection with another rental agreement.
  • Failure by the renter to return the equipment at the agreed time will result in unconditional liability for damages, and the renter will be liable under Section 293 of the Criminal Code (theft of use).

Cancellation of Agreements

In the event of cancellation of concluded agreements, Zonic Music Aps is entitled to charge the following:

  • From the date the agreement is entered into until 60 days before the first day of the lease – 30% of the total contract amount.
  • From 59 to 15 days before the first rental day – 60% of the total contract amount.
  • From 14 days before the first rental day – 100% of the total contract amount.
  • Such cancellation must be made in writing.
  • Performance of agreements cannot be enforced in cases of force majeure.

Limitation of Liability

  • Zonic Music Aps cannot be held liable for any expenses the renter may incur as a result of engine failure or other damage to vehicles, nor for any situation in which the vehicle’s usability is wholly or partially reduced.
  • Zonic Music Aps is never liable for indirect losses, including loss of profit.
  • Zonic Music Aps is covered by liability insurance; the insurance policy will be provided upon request.

Disclaimer

  • Zonic Music Aps hereby notifies that third-party goods transported by Zonic Music Aps are not insured under the so-called carrier’s liability through Zonic Music Aps’s insurance policies.
  • Zonic Music Aps disclaims any liability that may arise as a result of damage to goods during transport and handling.
  • Please note that the customer should take out cargo insurance.
  • If the customer already has cargo insurance, the customer’s own insurance company must be informed of the upcoming shipment.
